1. ELIGIBILITY: Sweepstakes is open to legal residents, eighteen (18) years of age or older at the time of entry of the United States, and Washington, D.C. Employees of Vialta Corporation, its subsidiaries, affiliates, sales representatives, distributors, advertising and promotion agencies, and members of each of their immediate families (spouses, parents, children and siblings, and their respective spouses) and those living in the same household of each are not eligible. Sweepstakes begins online at 12:00:00 a.m. PST on March 1st, 2004, and ends at 11:59:59 p.m. PST on March 31st, 2004. Entrants agree to be bound by the terms of these Official Rules.

2. TO ENTER: Go to: http://www.vialta.com/giveaway.htm, and complete the registration form by entering all requested information including your name, and e-mail address.

By entering this Sweepstakes, entrants give their expressed permission to be contacted by Sponsor by telephone, e-mail and/ or postal mail. Entrants must provide only one valid e-mail address to enter online. In the event of a dispute regarding the identity of the person submitting an electronic entry, the entry will be declared made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to the e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Proof of being the authorized account holder may be required. Online entries must be submitted by 11:59:59 p.m. PST March 31st, 2004.

By entering the Sweepstakes, entrants consent to use of their name and likenesses for advertising purposes without limitation and without additional compensation worldwide, except where prohibited by law. Entrants agree to indemnify and release Vialta and its subsidiaries, affiliates and related companies and each of their respective officers, directors, employees and agents from any and all liability, loss or damage of any kind arising out of or in connection with entrants participation in this Sweepstakes, or with respect to awarding, receipt, possession, use and/ or misuse of any prize, or to participation in the Sweepstakes or in prize-related activities. By entering the Sweepstakes, entrants further acknowledge that the Sweepstakes Parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied in fact or in law, relative to prize or to any portion thereof, including but not limited to its quality, merchantability, mechanical condition, or fitness for a particular purpose and entrants agree not to sue the Sweepstakes Parties for any damages relating thereto.

Persons found tampering with or abusing any aspect of this Sweepstakes, as solely determined by the Sponsor, will be disqualified.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

3. LIMITATIONS OF LIABILITY: Sponsor and its agents are not responsible for any computer, online, telephone or technical malfunctions, delays or human errors that occur in the processing, transmission or receipt of entries, or for inaccurate transcription of entry information, or for entries that are stolen, misdirected, garbled, lost or delayed by computer transmissions, or if for any reason, the Sweepstakes is not capable of being conducted as planned, including but not limited to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond the control of Vialta. If the Sweepstakes cannot continue due to mechanical or technical failure, all entries collected prior to such failure will be tallied, and winners will be randomly selected from those entries. Vialta is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes.

4. DRAWING: A random drawing for one (1) winner per drawing, will be conducted from among all eligible entries received by 11:59:59 p.m. March 31st, 2004 PST. The drawings will be conducted on or about the following week. The drawings will be conducted at Vialta Headquarters by the judges of this Sweepstakes, whose decisions are final on all matters relating to this Sweepstakes. Odds of winning depend on the total number of eligible entries received prior to the drawing. The Winner will be notified by e-mail and regular mail on or about April 7th, 2004.

TOTAL APPROXIMATE RETAIL VALUE OF ALL PRIZES (ARV): $299 USD.

5. PRIZE ACCEPTANCE: Limit one prize per person during entire promotional period. Prizes are not transferable. No substitution or cash redemption allowed except by Vialta, who may substitute a prize of equal or greater value if advertised prize becomes unavailable. Prizes must be claimed within one (1) month of acceptance, or prize will be forfeited in its entirety. Taxes on prizes are sole responsibility of winners, who will be issued an IRS 1099 tax form (where required). Winners will be required to sign and return Affidavit of Eligibility/Liability and Publicity Release (where permitted) within ten (10) days of notification or prizes may be forfeited and awarded to an alternate winner. If prize notification letter or any prize is returned as undeliverable, the corresponding prize will be awarded to an alternate winner.

Vialta reserves the right to revise this Agreement at any time and Users are deemed to be apprised of and bound by any changes to this Agreement.
